Terms of Service
This Service Agreement (“Agreement”) is entered into between BaseKamp Design (“Provider”) and the Client (“Client”). By purchasing ADA TV+ services, the Client agrees to be bound by this Agreement.
1. Services
BaseKamp Design shall provide the ADA TV+ product, which includes a preloaded, plug-and-play device containing a mix of American Dental Association (ADA) educational content and practice-specific custom content as outlined in the Client’s order. Content plays on a loop when connected to a TV in the dental practice’s waiting area.
2. Fees and Expenses
2.1 Recurring Fees
The Client agrees to pay a recurring flat-rate service fee as specified at the time of order. Billing begins upon order acceptance, contracted for a minimum of one-year, and renews automatically into month-to-month until canceled per this Agreement.
2.2 Expenses
If additional expenses arise (such as shipping replacement devices or premium content acquisition), BaseKamp Design will seek approval from the Client prior to incurring the cost.
3. Term and Termination
3.1 Initial Term & Grace Period
The Agreement is effective upon order acceptance. It includes a one-year minimum service commitment starting from the order date. The Client may cancel within the first 15 days by written notice. All accrued fees up to cancellation are due immediately.
3.2 Minimum Term Length & Auto-Renewal
After the Grace Period, the Agreement requires a one-year minimum term and auto-renews yearly. Early cancellation before fulfilling the minimum term incurs a fee equal to the remaining contract balance. Termination requires 30 days’ written notice.
4. Fulfillment and Delivery Policies
4.1 Delivery
The ADA TV+ device is shipped preloaded with content based on the Client’s selections. Delivery timelines will be communicated at the time of order. BaseKamp Design is not responsible for shipping delays caused by carriers.
4.2 Content Review and Acceptance
Upon receiving the device, the Client has 15 days to notify BaseKamp Design in writing of any non-conformity with the proposal. If no notice is received, the product is deemed accepted.
4.3 Refunds
Clients may request a full refund within 3 business days of ordering, provided the device has not shipped and content production has not begun. Once production or shipping starts, refunds are not available.
4.4 Cancellations
Orders may be canceled within 15 days of placement. Any hours or production costs incurred before cancellation are billable at $125 per hour and will be deducted from the refund.
5. Proprietary Rights
All rights, title, and interest in ADA TV+’s content, videos, device, software, themes, and designs remain the property of BaseKamp Design and/or its licensors, including the ADA-provided content. The Client receives a license to use the device and content solely for the intended use within their dental practice.
6. Intellectual Property Warranty
BaseKamp Design warrants that it will not knowingly infringe any third-party intellectual property rights in performing services. Content provided by the ADA is used under license. BaseKamp Design will indemnify the Client against valid claims arising from content created by BaseKamp Design.
The Client warrants that any practice-specific content (such as patient testimonials, office videos, or images) submitted for inclusion is properly licensed or owned by the Client. The Client agrees to indemnify BaseKamp Design from claims arising from unauthorized content submitted by the Client.
